Terms of Service

By creating an account or clicking "I Agree," you accept these Terms on your own behalf and as an authorized representative of your organization. All users you add to your account are also bound by these Terms.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and PolyFab Pro LLC ("PolyFab Pro," "we," "us," or "our") governing your access to and use of the PolyFab Pro platform, including all software, features, and services available at polyfabpro.com (collectively, the "Service").

By registering for an account, clicking "I Agree," or otherwise accessing the Service, you represent and warrant that:

You are at least 18 years of age;
You have the legal authority to enter into this agreement on behalf of yourself and your organization;
You are binding your organization and all individuals you authorize to access the Service under your account to these Terms; and
Your use of the Service complies with all applicable laws and regulations.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

PolyFab Pro is a cloud-based fabrication management platform designed for fabricators and designers. The Service includes job tracking, scheduling, inventory management, billing, change order management, team coordination tools, QuickBooks Online integration, an AI-powered help agent, and related features as made available from time to time.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice where practicable.

3. Accounts and Access

3.1 Account Registration

To use the Service, you must register for an account by providing accurate and complete information. You are the "Account Holder" and are responsible for all activity that occurs under your account, including the actions of all users you add.

3.2 User Seats

Your subscription includes a defined number of user seats. You may add team members up to your seat limit. Each user you add is subject to these Terms, and you are responsible for ensuring they comply.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including login tokens and user PINs. You must notify us immediately at PolyFab42@gmail.com of any unauthorized access or security breach.

3.4 Authorized Representatives

The individual who creates the account represents that they have the authority to bind the organization to these Terms. By accepting on behalf of an organization, that organization becomes a party to this agreement.

4. Subscription and Billing

4.1 Fees

Access to the Service requires a paid subscription. Current pricing is displayed at polyfabpro.com during the signup process. All fees are in U.S. dollars.

4.2 Billing Cycle

Subscriptions are billed on a recurring monthly or annual basis, as selected at signup. Your subscription automatically renews at the end of each billing period unless cancelled before the renewal date.

4.3 Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you authorize PolyFab Pro to charge your payment method for all applicable fees. You agree to Stripe's terms of service in addition to these Terms.

4.4 Refunds

All subscription fees are non-refundable except as required by applicable law or as expressly stated in writing by PolyFab Pro. No refunds are issued for partial billing periods.

4.5 Suspension for Non-Payment

If payment fails or your subscription lapses, your account and all associated user access will be suspended until payment is brought current. We will make reasonable efforts to notify you of payment issues before suspension.

4.6 Price Changes

We may change subscription pricing with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights;
Upload or transmit malicious code, viruses, or harmful content;
Attempt to gain unauthorized access to any part of the Service or its infrastructure;
Reverse engineer, decompile, or attempt to extract the source code of the Service;
Resell, sublicense, or otherwise transfer access to the Service without our written consent;
Use automated tools to scrape or extract data from the Service;
Interfere with or disrupt the integrity or performance of the Service;
Use the Service to store or transmit illegal, defamatory, or infringing content.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

6.1 Your Data

You retain ownership of all data, content, and information you upload or create within the Service ("Customer Data"). You grant PolyFab Pro a limited, non-exclusive license to process and store your Customer Data solely to provide and improve the Service.

6.2 Data Security

We implement reasonable technical and organizational measures to protect your Customer Data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

6.3 Data Export

You may export your Customer Data at any time using the data export features within the Service. Upon termination of your account, we will retain your data for 30 days, after which it may be deleted.

7. Third-Party Integrations

The Service integrates with third-party services including QuickBooks Online (Intuit Inc.), Stripe, and Anthropic's AI services. Use of these integrations is subject to their respective terms and privacy policies. PolyFab Pro is not responsible for the acts or omissions of any third-party service provider.

8. Intellectual Property

The Service, including all software, interfaces, designs, logos, and content created by PolyFab Pro, is owned by PolyFab Pro LLC and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our express written permission.

9. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public business information disclosed in connection with the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

POLYFAB PRO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POLYFAB PRO LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO POLYFAB PRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless PolyFab Pro LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you upload to the Service.

13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

13.2 By PolyFab Pro

We may suspend or terminate your account at any time if you violate these Terms, fail to pay applicable fees, or if we determine that continued access poses a risk to the Service or other users. We will provide notice where reasonably practicable.

13.3 Effect of Termination

Upon termination, your right to access the Service immediately ceases. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Connecticut.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

16. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and PolyFab Pro regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
Force Majeure: Neither party shall be liable for delays or failures caused by circumstances beyond their reasonable control.
